Terms of Service

These Terms of Service set out the general framework for the machinery sourcing, logistics, installation and after-sales support services offered by ATESINO GROUP (HONG KONG) LIMITED through makinachina.com. The quotation and contract signed for each order form a single whole together with this document.

1. Scope of Services

The Company offers the following services to manufacturing businesses of SME scale:

  • Machine selection and technical consultancy: Determining the machine type, capacity and configuration that suits your production requirements.
  • Sourcing and manufacturer management: Manufacturer selection, price negotiation, order tracking and production progress reporting.
  • Pre-shipment inspection: On request, testing the machine at the factory before shipment and issuing an inspection report.
  • Logistics and customs support: Freight arrangement, document preparation and coordination of the import process.
  • Installation and commissioning: On-site assembly, calibration and preparation of the machine for production.
  • Training and after-sales support: Operator training, spare parts supply and technical service.

The services included in each order are stated explicitly in the quotation issued to you.

2. Quotation Process

Quotation requests may be submitted through the Request a Quote or Contact forms on the Site, by email or by telephone.

The quotation issued covers the machine model and technical specification, unit and total price, delivery terms, estimated production and delivery times, payment schedule, warranty period and items excluded from scope.

Unless stated otherwise, quotations are valid for 15 days from the date of issue. After this period the quotation is reissued to reflect changes in exchange rates, freight and manufacturer prices.

3. Order Confirmation

An order becomes final once the Customer has approved the quotation in writing and the advance payment stated in the quotation has been credited to the Company account.

Requests to change the technical specification after order confirmation may generate additional cost and lead time depending on the production stage. Such requests must be submitted in writing and confirmed in writing by the Company.

4. Pricing and Payment Terms

Prices are issued on the basis of the currency and delivery terms stated in the quotation.

Unless agreed otherwise, the standard payment schedule is as follows:

  • Advance payment on order confirmation,
  • Balance payment before shipment, following completion of the pre-shipment inspection,
  • Where installation services are included, payment of the installation fee after commissioning.

Bank transfer charges, letter of credit commissions and exchange rate differences are borne by the Customer. Default interest may be applied to amounts not paid when due under applicable legislation; the Company reserves the right to hold shipment until payment is completed.

Unless agreed otherwise in writing, title to the machine remains with the Company until the price has been paid in full.

5. Production and Delivery Times

Production and delivery times stated in the quotation begin from order confirmation and completion of the advance payment, and are estimates.

Manufacturer delays, port congestion, container availability, customs procedures and public holidays may extend these periods. Where a deviation from the anticipated schedule occurs, the Company informs the Customer without delay and provides a revised timeline.

6. Shipment, Customs and Delivery Terms

Delivery terms are stated in the quotation on the basis of Incoterms rules (for example FOB, CIF or DAP). The point at which risk and costs pass to the Customer is determined by the selected delivery term.

Unless stated otherwise, Turkish import duties, VAT, port and release charges and domestic transport are the responsibility of the Customer.

The Customer must inspect the packaging and machine on delivery, record any visible transport damage in writing on the delivery documents and report it to the Company with photographs within 7 days. Insurance claims rely on this record.

7. Installation, Commissioning and Customer Obligations

The scope of installation services is defined in the quotation. For installation to proceed smoothly, the Customer must complete the following preparations before the machine arrives on site:

  • Suitable flooring, space and, where required, foundation works for the machine,
  • The power supply, earthing, compressed air and cooling water line stated in the technical specification,
  • A forklift or crane for unloading and positioning the machine,
  • Site access and occupational safety permits for the installation team.

Where installation is delayed or a second site visit becomes necessary due to shortcomings on the Customer side, the resulting additional accommodation, travel and labour costs are invoiced to the Customer.

Commissioning is completed when the acceptance protocol is signed by both parties.

8. Operator Training

Where included in the installation scope, training is provided to Customer personnel during commissioning on safe operation of the machine, basic maintenance and fault clearing.

A list of personnel attending the training is appended to the acceptance protocol. Additional training requests are priced separately.

9. Warranty Coverage

Unless stated otherwise in the quotation, machines are warranted against manufacturing and material defects for 12 months from the commissioning date.

The following fall outside warranty coverage:

  • Use contrary to the operating manual, overloading or incorrect operator intervention,
  • Repair, modification or software changes carried out by unauthorised persons,
  • Failure to perform periodic maintenance, or use of unsuitable oil, filters or consumables,
  • Unsuitable power supply, voltage fluctuation or lack of earthing,
  • Parts subject to natural wear such as cutting tools, blades, seals, filters and belts,
  • Transport, natural disaster, fire, flooding and similar external factors.

For faults covered by warranty, the Company may apply one of the following remedies: repair of the part, replacement of the part, or replacement of the machine.

10. Spare Parts and Technical Service

The Company undertakes to maintain spare parts supply and technical service support for the machines it sells. Part of the critical spare parts inventory is held in Türkiye; the remainder is supplied by manufacturer order.

Service requests outside the warranty period are charged according to the service tariff in force. Fault reports should be sent to info@makinachina.com with the machine serial number, a description of the fault and photographs or video where available.

11. Cancellation and Returns

Cancellation requests must be submitted in writing. Cancellation may not be possible for machines that have entered production, are manufactured to a bespoke specification or have already shipped; in such cases amounts paid to the manufacturer and costs incurred are passed on to the Customer.

For purchases made in the capacity of a consumer, the right of withdrawal and return procedures are governed by the Distance Sales Agreement.

12. Force Majeure

Natural disaster, epidemic, war, strike, port closure, export or import restrictions, energy outages and similar events beyond the control of the parties are considered force majeure.

Performance of obligations is suspended for the duration of the force majeure event. Where the impediment lasts longer than 90 days, either party may terminate the contract without liability for damages; in such case the value of work already performed is set off.

13. Confidentiality

The parties shall keep confidential, and shall not share with third parties, information of a pricing, production method, customer list or technical nature learned in the course of the service relationship. This obligation continues after the service relationship ends.

14. Dispute Resolution

The parties agree to seek resolution of any dispute first through good-faith discussion. Failing settlement, the governing law and competent forum agreed in the order contract between the parties shall apply.
